Terms of Service – MADIT

1. Purpose

These Terms govern the provision of consulting services in digital transformation, digital marketing, strategic communication, social media management, content development, and other digital services contracted by the Client from MADIT.

2. Contract Conditions

- The Client may contract services through commercial proposals, specific contracts, or online subscription.

- Acceptance of these Terms implies the conclusion of a binding contract between the Client and MADIT.

3. Duration and Renewal

- The provision of services may take the form of a subscription (monthly or annual) or a one-off project.

- In subscription contracts, renewal will be automatic for equal periods, unless terminated by either party with 30 (thirty) days' prior notice.

4. Prices and Payment Terms

- The amounts payable shall be those stated in the commercial proposal or in the subscription plan.

- Payments shall be made in advance (unless otherwise agreed in writing).

- All amounts are subject to VAT at the legal rate in force.

- Failure to pay may result in the immediate suspension of services.

5. MADIT's Obligations

- To provide the contracted services with diligence and professionalism.

- To provide reports, deliverables, or documentation, when applicable.

- To ensure confidentiality regarding all information provided by the Client.

6. Client Obligations

- Provide MADIT with all information, access, and materials necessary for the performance of services.

- Ensure the accuracy and legality of the content provided.

- Make agreed payments on time.

7. Intellectual Property

- Content created under the contract belongs to the Client after full payment for services.

- MADIT's proprietary methodologies, know-how, tools, and materials may not be reproduced or used outside the scope of the contract.

8. Confidentiality and Data Protection

- Both parties undertake to maintain confidentiality regarding all confidential information.

- The processing of personal data shall comply with applicable legislation, including the General Data Protection Regulation (GDPR).

9. Limitation of Liability

- MADIT does not guarantee specific results (such as increased sales or search engine rankings), only the provision of the contracted services.

- It is not responsible for failures by third parties (digital platforms, social networks, servers, external suppliers).

10. Cancellation and Termination

- The Client may terminate the contract by giving at least 30 (thirty) days' written notice.

- In the event of breach of contract by the Client, MADIT may immediately suspend or terminate the services.

11. Changes to the Terms

- MADIT may update these Terms at any time by notifying the Customer.

- Continued use of the services after the change implies acceptance of the new Terms.

12. Applicable Law and Jurisdiction

- This agreement is governed by Portuguese law.

- For the resolution of disputes, the jurisdiction of the district of Torres Novas, Portugal, is competent, with express waiver of any other.
